Hengeler Mueller advises RWE on sale of German supra-regional gas transportation network

RWE AG has sold its German supra-regional gas transportation network to infrastructure funds managed by Macquarie Infrastructure and Real Assets (Europe) Ltd. Some 10 billion cubic metres of natural gas are transported annually via the supra-regional gas transportation network spanning more than 4,100 kilometres. It is comprised in Thyssengas GmbH.

Hengeler Mueller advised RWE AG on this transaction. The Hengeler Mueller team was led by partners Matthias Hentzen and Thomas Meurer (both Corporate/M&A) and also included partners Hartwin Bungert (Carve-out), Dirk Uwer (Energy), Christoph Stadler (Competition) (all Düsseldorf), Ernst-Thomas Kraft (Tax) and Christian Hoefs (Labour) (both Frankfurt) as well as associates Sven Greulich, Holger Michael Kleinhenz, Vicki Treibmann, Malte Jaguttis, Daniel Zimmer, Thomas B. Paul, Thomas Rühle, Sebastian Schneider (all Düsseldorf), Lars Kloster and Jürgen Nosky (both Frankfurt).

In February 2009, RWE AG had made a commitment to the European Commission to sell the German supra-regional gas transportation network. Hengeler Mueller had already advised RWE AG in connection with the proceedings before the European Commission and relative to the subsequent consolidation of the German supra-regional gas transportation network in Thyssengas GmbH (carve-out). The sale was conducted by auction process.
