Hengeler Mueller advises Haniel on sale of its Celesio shares

Franz Haniel & Cie. GmbH (Haniel) has entered into an agreement with McKesson Corporation on the sale of its 50.01% shareholding in Celesio AG. The transaction is subject to customary closing conditions.

McKesson subsequently announced its intention to launch a public tender offer for all Celesio AG shares as well as an acquisition offer for the convertible bonds issued by Celesio group.

Hengeler Mueller advised Haniel on the transaction.
