Hengeler Mueller advises Überlandwerk Fulda AG and Gas- und Wasserversorgung Fulda GmbH on merger

The merger of the regional utility companies Überlandwerk Fulda Aktiengesellschaft (ÜWAG) and Gas- und Wasserversorgung Fulda GmbH (GWV) into one large, integrated company is completed. After the transformation of ÜWAG into a GmbH, renamed to RhönEnergie Fulda GmbH, GWV as the transferring entity was merged into RhönEnergie Fulda GmbH. After the entry in the commercial register, the technical division of the former Gas- und Wasserversorgung Fulda GmbH existing at RhönEnergie

Fulda GmbH as the transferring entity will be outsourced to the acquiring company ÜWAG Netz GmbH.

RhönEnergie Fulda GmbH supplies approximately 300,000 people as well as numerous companies in Eastern Hesse and throughout Germany with electricity, natural gas and drinking water and is currently establishing a regional broadband infrastructure in the district of Fulda.
