Hengeler Mueller advises Fresenius on acquisition of Rhön-Klinikum AG by public tender offer

Fresenius announced today its intention to make a voluntary public takeover offer to Rhön-Klinikum AG shareholders. The total purchase price for all outstanding shares in the company amounts to approximately EUR 3.1 bn. Rhön-Klinikum AG is one of Germany’s largest private hospital operators, with reported sales of EUR 2.6 bn and net income of EUR 161 m in 2011. The public tender offer will be submitted by FPS Beteiligungs AG, an indirect subsidiary of Fresenius.
