Rainer advises corporates and investors on corporate and capital markets law, with a focus on corporate reorganisations, M&A projects and other transformational matters. He is also active as a boardroom advisor and is routinely involved in the preparation of shareholders' meetings. His practice includes corporate litigation.
His previous reorganisation mandates include the realignment of the governance structure of PNE WIND AG (2015), and the establishment of a European joint venture between Peugeot and Santander in wholesale and retail car financing (2014-2016). Rainer further advised CEWE Color Holding KG on its transformation into a KGaA (2013), Fresenius SE on the change of legal form into an SE & Co. KGaA (2010), and Deutsche Telekom AG on the re-integration of T-Online, preceded by a public offer to the shareholders of T-Online (2006).
In corporate matters, Rainer has advised Deutsche Telekom on the structuring and execution of a share dividend and the corresponding subscription rights issue (2012-2016). He also advises a broad spectrum of clients on their corporate housekeeping and capital markets compliance, as well as on corporate liability matters.
M&A transactions in which Rainer has advised include the public takeover offer by Fortum to the shareholders of Uniper SE (2017), the acquisition of private Spanish hospital group Quirónsalud by Fresenius (2016), the acquisition of Rhön-Klinikum hospitals by Fresenius (2014) preceded by a public takeover offer to the shareholders of Rhön-Klinikum AG, as well as Demag Cranes AG/Terex, Schuler AG/Andritz and MAN/Scania.
Rainer currently serves as Co-Managing Partner of the firm.
