Nicolas advises clients in connection with restructurings and M&A transactions. He focuses on distressed M&A transactions as well as corporate and insolvency law related matters in situations of financial distress. His clients include domestic and international companies, financial investors, credit institutions, bondholders and insolvency administrators.

Nicolas advised, among others, on the following matters:

• Siemens in connection with certain measures for the stabilization of Siemens Energy;
• Valmet Automotive on the sale of its engineering services business to Mutares;
• a steering committee of bondholders on the financial restructuring of Adler Group;
• Lufthansa on certain stabilization measures by the KfW development bank and the German Economic Stabilisation Fund;
• a leading PE sponsor on the sale of a distressed portfolio company;
• Frank Kebekus as insolvency administrator over the assets of Galapagos Group on enforcing clawback claims before, inter alia, the German Federal Court of Justice and the European Court of Justice;
• GreatStar Europe on the acquisition of a manufacturing business out of insolvency.

Nicolas has also been involved in the sale and acquisition of strategic and financial investments for various PE and VC investors as well as banks and corporates, including:

• BlackFin Capital Partners on the acquisition of DWS' Digital Investment Platform as well as on the acquisition of INKA (asset manager) from HSBC;
• Corsair Capital on its investment in IDnow;
• BAWAG on its acquisition of Barclays' German retail client business;
• Tencent on various VC investments;
• Freenet on the sale of its participation in Ceconomy;
• Outokumpu in connection with its investment in Cronimet and the expansion of their business partnership in the area of metal recycling;
• Peter Möhrle on the acquisition of a majority stake in YellowFox.
