Hengeler Mueller advises Informatica on acquisition of Heiler Software AG by public tender offer

Informatica Corporation announced today its decision to make a voluntary public takeover offer to the shareholders of Heiler Software AG. Informatica is one of the world’s leading independent providers of data integration software domiciled in Redwood City, California, USA. The public tender offer will be submitted by Informatica Deutschland AG, an indirectly wholly owned subsidiary of Informatica Corporation. In connection with the takeover offer, irrevocable undertakings with key shareholders of Heiler, representing approximately 71.6% of the share capital of Heiler Software AG (excluding treasury shares) as well as a transaction agreement with Heiler Software AG have been concluded. Heiler Software AG is a leading provider of enterprise Product Information Management (PIM) and Master Data Management (MDM) solutions. The shares of Heiler Software AG are listed in the General Standard Segment of the Frankfurt stock exchange.
