Hengeler Mueller advises HUGO BOSS on successful defence against actions for voidance

On 21 June 2010, the II. Civil Senate responsible for corporate law of Germany’s Federal Court of Justice rejected the motion of a shareholder to have its appeal heard against a decision of the Higher Regional Court of Stuttgart. The plaintiff shareholders had opposed resolutions adopted at the shareholder meeting of HUGO BOSS AG in May 2008 relative to the distribution of profits and the discharge of the supervisory board as well as against the established annual financial statement for the year 2007. The decision of the Higher Regional Court of Stuttgart is thereby final. The District Court and the Higher Regional Court of Stuttgart had both rejected the actions for avoidance.
