Hengeler Mueller advises EPH on acquisition of stake in Mibrag from CEZ

The Czech energy and industrial holding Energetický a Prumyslový Holding (“EPH”) and the Czech power company CEZ have concluded an agreement on the acquisition of CEZ’s 50% stake in Mitteldeutsche Braunkohlegesellschaft mbH (“MIBRAG”). CEZ and EPH had jointly acquired MIBRAG in 2009. The full acquisition of MIBRAG by EPH is part of a larger transaction, which also includes the sale by EPH of the Czech heating provider Energotrans to CEZ. In addition to the 50% stake in MIBRAG, EPH is also acquiring from CEZ the power plant project Profen, a proposed new lignite power plant in the vicinity of the MIBRAG lignite mines.
