Hengeler Mueller advised RWE on all-cash offer for Essent shareholders

On January 12, 2009, RWE Aktiengesellschaft and the Dutch Essent N.V. reached an agreement on the terms and conditions for a binding all-cash offer by RWE to the shareholders of Essent to acquire all shares of Essent excluding Essent's distribution network and waste management operations.
