Hengeler Mueller advises AXA on acquisition of majority stake in ROLAND Rechtsschutz

AXA, one of the biggest primary insurance groups in Germany, and the German insurance group Gothaer are taking over full ownership of ROLAND Rechtsschutz (“ROLAND”). In the course of several individual transactions, AXA will increase its stake in ROLAND from 41 to 60 percent; Gothaer will hold 40 percent of the shares. The two owners will largely operate as equal partners and be equally represented in the new supervisory board on the shareholder side. AXA receives the right to consolidate ROLAND’s premium income in its group financial statements. The transactions are still subject to the approval of the Federal Financial Supervisory Authority (BaFin) and the competition authorities.
