Hengeler Mueller advises on successful Eurohypo squeeze-out

28. July 2008

The resolution passed at the Annual General Meeting of Eurohypo AG on 29 August 2007 to transfer the shares owned by outstanding minority shareholders in Commerzbank subsidiary Eurohypo AG to Commerzbank Inlandsbanken Holding GmbH (majority shareholder) was registered with the commercial register on July 25, 2008 and has thereby become effective. Thus, the legal clearance proceedings against more than 40 plaintiffs have been successfully concluded for the company. This is one of the largest squeeze-outs in recent years.

Hengeler Mueller advised Commerzbank and Eurohypo. Advice was provided by partner Hartwin Bungert (Corporate) as well as associates Gunnar Janson, Thomas Lange and Richard L. Notz (all Düsseldorf).

Back in September 2007, Hengeler Mueller had already successfully advised on the entry of the concluded control and profit transfer agreement in the commercial register.
