Hengeler Mueller advises Commerzbank on capital measures in a total amount of EUR 2.5 bn

On 14 March 2013, Commerzbank AG announced that it will make an early repayment in full of the silent participations held by the Financial Market Stabilisation Fund (SoFFin) of about EUR 1.6 bn as well as by Allianz of EUR 750 m. The measures planned for this purpose comprise a combined cash capital increase/capital increase through contributions in kind with subscription rights in the amount of EUR 2.5 bn as well as a capital decrease and 10:1 share consolidation. The capital increase is to be approved at the annual general meeting of Commerzbank, which was moved forward to 19 April 2013. After the completion of the transaction, SoFFin's shareholding in Commerzbank is expected to decrease from currently 25% plus one share to below 20%.
