Hengeler Mueller advises KKR on sale of WMF AG

Groupe SEB (Paris:SK) announced an agreement with Finedining Capital AG (“Finedining”), an indirect subsidiary of funds advised by KKR (together with affiliates, “KKR”), for the acquisition of the German group WMF. The acquisition is still subject to occurrence of merger clearance by the competent authorities.

Hengeler Mueller advises Finedining on the transaction, acting as lead counsel for all jurisdictions involved, including Austria, China, Czech Republic, France, Japan, Switzerland and USA. Hengeler Mueller had advised KKR on the acquisition of the majority shareholding and the voluntary tender offer to the shareholders of WMF AG in the year 2012. In 2014 Hengeler Mueller had advised KKR on a further tender offer to the holders of preference shares and on the merger related squeeze-out last year.
