Matthias advises on all tax aspects of mergers and acquisitions, corporate reorganisations as well as financing transactions. He also has extensive experience in advising on the restructuring of distressed companies. Another focus of his practice is tax compliance, tax disputes and litigation. He acts for a broad range of corporate clients across business sectors and private equity houses.
Recent M&A transactions that Matthias has advised on include: EPH's purchase of Vattenfall's lignite business (2016), Österreichische Post's sale of the logistics service provider trans-o-flex (2016), Aptar Group's acquisition of the Mega Airless Group (2016), Onex' sale of KraussMaffei Group (2016) and MAGNA's acquisition of the power train manufacturer GETRAG (2015). Matthias has advised Siemens on the formation of its joint venture with Valeo in the "high-voltage powertrain", and he is currently advising on the conversion of a listed company into a private partnership. Other recent corporate reorganisations Matthias has advised on include the demerger of a data centre provider, several squeeze out-transactions which were combined with a merger, the separation of family branches which co-owned an industry group, and the merger of a German REIT into a (non-REIT) company.
Matthias has advised a number of companies – including publicly listed companies – on their financial restructuring, most recently on the refinancing of a medium-sized company. In tax compliance work, Matthias has helped clients in tax-related internal investigations and relevant communication with the tax authorities. Clients also regularly bring in Matthias to tax audits to help them respond to complex findings, most recently on transfer pricing issues and the treatment of a reorganisation under German real estate transfer tax. Contentious tax matters Matthias advises on include the enforcement of foreign investors' claims for the refund of German withholding tax.
