Three new partners and five new counsel at Hengeler Mueller

Hengeler Mueller is strengthening its partnership with the appointment of Katharina Hesse (Düsseldorf), Daniel Illhardt and Elisabeth Kreuzer (both Munich) with effect from 1 January 2021. At the same time, Caspar Haarmann (Düsseldorf), Johannes Honzen (Frankfurt), Jakub Lorys (Munich), Matthias Rothkopf (Düsseldorf) and Marvin Vesper-Gräske (Berlin) will become counsel at Hengeler Mueller.

Katharina Hesse advises a wide spectrum of corporate clients, as well as private equity funds and other financial investors, mainly in M&A projects with regulatory implications. She has a particular focus on the structuring and implementation of private M&A transactions, as well as corporate reorganisations and different kinds of cooperation agreements. Katharina also advises companies on their ongoing corporate and capital markets-related matters. Most recently, she was involved – among other matters – in the IPO of HENSOLDT and the sale of shareholdings in MVV Energie held by EnBW AG and RheinEnergie AG.

Daniel Illhardt advises corporate clients and investors on a broad range of corporate and equity capital markets matters. He has a particular focus on corporate reorganisations and public takeovers, as well as preparing and guiding shareholders’ meetings and advising boards and directors on liability and compliance issues. Most recently, Daniel advised Deutsche Börse on the acquisition of a majority stake in ISS, Siemens on the sale of Flender to Carlyle and the spin-off of its energy business, as well as Axel Springer on its strategic partnership with KKR.

Elisabeth Kreuzer advises on corporate transactions, including carve-outs and co-investments, as well as on corporate law matters. She has a particular focus on domestic and international M&A advising clients on both the sell-side and buy-side. Elisabeth's most recent mandates include Lovisa's acquisition of the beeline retail business and the acquisition of four IT- and Cloud-specialists by Waterland.

Caspar Haarmann advises corporates and investors in every field of capital markets law, on a broad range of corporate matters, as well as on corporate reorganisations and M&A transactions. He has particular experience in advising companies and bank syndicates on a wide variety of equity capital markets transactions: IPOs, capital increases requiring a prospectus and private placements which have admission to trading on a stock exchange. He also advises a wide spectrum of corporate clients, as well as private equity and venture capital funds and other financial investors, in public and cross-border M&A projects. Most recently, Caspar was involved in the IPOs of Knaus Tabbert and HENSOLDT.

Johannes Honzen advises corporates, as well as private equity and other financial investors, on M&A transactions and joint ventures with a particular focus on real estate as well as corporate matters. Most recently, Johannes advised Blackstone on the acquisition of a logistics portfolio from Castlelake and Melcombe, Cara Investment on the sale of the BHF Tower in Frankfurt, and EQT on the acquisition of a minority stake in SHL Medical.

Jakub Lorys advises a wide spectrum of corporate clients as well as private equity funds, venture capital funds and other financial investors in M&A projects. He also advises corporates and investors in all aspects of capital markets law and corporate law, and has particular experience in advising companies on a wide variety of equity capital markets transactions, covering IPOs, and capital increases requiring a prospectus. His most recent mandates include TA Associates' sale of a majority stake in thinkproject to EQT and Siemens' sale of Flender to Carlyle.

Matthias Rothkopf advises on all aspects of antitrust and intellectual property law. A particular focus of his practice is advising technology companies on antitrust law, as well as on licence agreements and licence cartel law. Most recently, he has been involved in representing multinational technology companies in proceedings before the German Federal Cartel Office, and in defending MAN against claims for antitrust damages.

Marvin Vesper-Gräske advises on a broad range of corporate matters, corporate reorganisations and M&A transactions. His practice also includes capital markets work, as well as financing structures in connection with M&A transactions and public takeovers. Most recently, Marvin advised – among other matters – Peter Möhrle Holding on its participation in bc and KKR on the acquisition of Tele München Gruppe, i&u TV as well as Wiedemann & Berg Film.
