Hengeler Mueller advises Natixis on the foundation of a German Pfandbrief bank

07. May 2012

Natixis S.A. intends to establish a German Pfandbrief bank. An application for the necessary licence has been made to the German Federal Financial Supervisory Authority (BaFin). The Pfandbrief bank shall operate under the name of “Natixis Pfandbriefbank AG”, with its registered office in Frankfurt am Main. The shares of Natixis Pfandbriefbank AG will be held solely by Natixis S.A., Paris.

The principal activity of the new Pfandbrief bank will be the financing of commercial properties primarily situated in Germany and in France. These transactions, in so far as they qualify as Pfandbrief cover, are to be refinanced through the issue of mortgage cover bonds (Hypothekenpfandbriefe).

The Hengeler Mueller team is led by partner Stefan Krauss (Banking Regulatory, Finance) and includes partners Thomas Paul (Banking Regulatory), Peter Weyland (Corporate), Matthias Scheifele (Tax) and Ernst-Thomas Kraft (Accounting) as well as the associates Jan Letto Steffen, Andreas Lischka, Christian Schmies and Björn Bork (all Frankfurt).
