Hengeler Mueller advises financing banks on Sybase takeover by SAP

On 12 May 2010, SAP AG, the world’s leading provider of business software, and Sybase, Inc., an industry leader in delivering enterprise and mobile software based in California/USA, announced that SAP´s subsidiary, SAP America, Inc., has signed a definitive merger agreement to acquire Sybase, Inc. The transaction value amounts to approximately USD 5.8 bn. Barclays Capital and Deutsche Bank are providing a EUR 2.75 bn loan facility for purposes of financing the transaction.
