Hengeler Mueller advises on Bioscientia Healthcare sale

Bioscientia Institut für Medizinische Diagnostik (Ingelheim, Germany) is merging with the German activities of the listed Australian company, Sonic Healthcare Ltd. To this effect, Sonic Healthcare has acquired all the shares in Bioscientia Healthcare, the parent company of Bioscientia Institut für Medizinische Diagnostik.

With more than 20 medical laboratories across Germany, Bioscientia is one of Europe’s leading laboratory companies and one of the largest operators of health care centres. The latter is the type of organisation through which, since 2004, corporations have been able to participate, along with doctors, in resident medical provision. Hengeler Mueller has been providing advice to Bioscientia for many years, particularly on its reorganisation into a health care centre structure. This transaction is one of the first major investments by foreign investors in the German ambulant sector. An enterprise value of € 190 m was the basis for this transaction.

Hengeler Mueller advised Bioscientia and the shareholders of Bioscientia Healthcare GmbH on this transaction. The Hengeler Mueller team was led by partners Karsten Schmidt-Hern (M&A, Frankfurt) and Wolfgang Spoerr (Health Care - Life Sciences, Berlin) and included Bernhard M. Maassen (Health Care - Life Sciences/Competition, Brussels) and Johannes Tieves (M&A, Frankfurt) as well as associates Matthias Scheifele (Frankfurt), Katharina Wodarz (Berlin) and Christian Vorster (Düsseldorf).
