Hengeler Mueller advises on first cross-border company transfer of Societas Europaea

On 26 February 2007, the Mannheim commercial register recorded the transfer of place of business of a Societas Europaea from Rotterdam, Netherlands, to Karlsruhe, Germany. This is the first published cross-border company transfer from another country to Germany under this legal form. The undertaking has broken new legal ground and established a foundation for cross-border SE mobility. The statutory framework is as yet incomplete.

Hengeler Mueller provided legal advice on the company transfer in an integrated team together with the Dutch law firm NautaDutilh. Advice was provided by partners Oleg de Lousanoff (M&A/Corporate) and Johannes Tieves (Corporate) as well as associate Vanessa Wettner.
