Hengeler Mueller advises Metalsa on sale of Automotive Hinges Business in Hainichen to SUMEC

Metalsa Automotive GmbH, a German subsidiary of the worldwide automotive supplier Metalsa SA de CV, Mexico (“Metalsa”), has entered into an agreement to sell 100% of the shares in Metalsa Automotive Hainichen GmbH to a German subsidiary of SUMEC Machinery & Electric Co., Ltd., Republic of China (“SUMEC”). SUMEC is a subsidiary of the Chinese state-owned corporation SINOMACH. Metalsa Hainichen is active in the automotive hinges business.

Hengeler Mueller advised Metalsa on the transaction. The Hengeler Mueller team included partners Joachim Rosengarten (Frankfurt), Changfeng Tu (Shanghai) (both M&A), Martin Klein (Tax), Hendrik Bockenheimer (Labour) (both Frankfurt) and Markus Röhrig (Antitrust, Brussels) as well as associates Annika Clauss, Christian Folter (both M&A), Claudia Nees (Tax) and Peter Wehner (Labour) (all Frankfurt). Hengeler Mueller had already advised Metalsa on the sale of the Witten Plant last year, and, in 2013, on the acquisition of the German activities.
