Hengeler Mueller advises Melrose PLC in connection with the proposed takeover of Elster Group SE

On 29 June 2012, Melrose PLC announced that is has reached agreement with Elster Group SE on the terms of a recommended proposal whereby Mintford AG, a wholly-owned subsidiary of Melrose, will acquire for cash the entire issued ordinary share capital of Elster Group SE. The acquisition will be implemented principally by a US tender offer to all holders of Elster American Depositary Shares listed on the New York Stock Exchange and Elster shares at a price of USD 20,5 per Elster ADS and USD 82 per Elster share (approximately, USD 2.3 bn in aggregate).
