Hengeler Mueller advises Charterhouse on dual track Armacell exit

Private equity funds managed by Blackstone and KIRKBI A/S have entered into binding agreements regarding the acquisition of Armacell from Charterhouse. Armacell, a global manufacturer of flexible foam products for equipment insulation and technical applications, has over 2,600 employees worldwide and operates across 23 manufacturing plants in 16 countries and 4 continents.

Hengeler Mueller advised Charterhouse as lead counsel both in relation to the sale and to a contemplated IPO (dual track exit). The M&A team was led by partners Hans-Jörg Ziegenhain (Munich) and Steffen Oppenländer (London) (both M&A) and further comprised partners Christian Hoefs (Labour), Nikolaus Vieten (Finance) (both Frankfurt) and Markus Röhrig (Merger Clearance, Brussels), counsel Patrick H. Wilkening (Düsseldorf), as well as associates Benjamin Leyendecker (Munich), Thomas Krawitz (London), Anne Broll (Frankfurt), Daniel Illhardt (Munich) and Matthias Rothkopf (Düsseldorf). The IPO team was led by partners Reinhold Ernst and Dirk Busch (both Capital Markets, Düsseldorf) and further included counsel Cecilia Di Cio as well as associate Caspar Haarmann. The Armacell inhouse legal team was led by Armacell’s general counsel Jan C. A. Bir and also included inhouse counsel Maximilian Stöhr.
