Hengeler Mueller advises BorgWarner BERU Systems on sale of Tire Pressure Monitoring System

BorgWarner BERU Systems GmbH has sold the business division Tire Pressure Monitoring System to Huf Group.

BorgWarner BERU Systems, a subsidiary of BorgWarner Inc., is a specialist for ignition technology, diesel cold start technology, electronics and sensors. BorgWarner is a technology leader in highly engineered components and systems for powertrain applications worldwide.

Hengeler Mueller has advised BorgWarner BERU Systems on this transaction. The Hengeler Mueller team included partners Joachim Rosengarten, Frank Burmeister (both Corporate/M&A), Stefanie Beinert (Tax) (all Frankfurt), Alf-Henrik Bischke (Competition, Brussels), Wolfgang Kellenter (IP) and counsel Andrea Schlaffge (IP) (both Düsseldorf) as well as associates Andreas Stoll (M&A) and Manuel Zandt (Competition) (both Frankfurt).

Back in 2004, Hengeler Mueller provided legal advice to BorgWarner on the takeover of BERU AG, at that time a listed company, on the subsequent control and profit transfer agreement, on the squeeze-out as well as the transformation of BERU AG into BorgWarner BERU Systems GmbH.
