Hengeler Mueller advises Sky plc on squeeze-out of Sky Deutschland

On 15 September 2015, the resolution by the extraordinary General Meeting of Sky Deutschland AG of 22 July 2015 was registered in the commercial register of Sky Deutschland AG in Munich. Thereby, the remaining 3.82% minority shareholdings in Sky Deutschland AG have been transferred to Sky German Holdings GmbH, a subsidiary of Sky plc. The cash compensation has been set at EUR 6.68 per share in accordance with the requirements of the German Stock Corporation Act. Upon registration, Sky Deutschland AG has become a wholly owned subsidiary of Sky plc. Sky Deutschland AG is shortly expected to be delisted from the Frankfurt Stock Exchange.
