Hengeler Mueller advises HELIOS on acquisition of the shares held by the District of Gotha and the City of Ohrdruf in District Hospital Gotha/Ohrdruf

On 4 December 2015, HELIOS Kliniken GmbH and HELIOS Kreiskrankenhaus Gotha/Ohrdruf GmbH concluded an overall settlement before the Regional Court of Erfurt with the co-shareholders of HELIOS Kreiskrankenhaus Gotha/Ohrdruf GmbH. As part of this settlement, HELIOS Kliniken GmbH acquired 49% of the shares in the District Hospital from the co-shareholders, the District of Gotha and the City of Ohrdruf, resulting in HELIOS Kliniken GmbH being the sole shareholder. Previously, the co-shareholders had initiated several legal proceedings against HELIOS Kreiskrankenhaus Gotha/Ohrdruf GmbH centred around the profit distribution and the participation in the intragroup cash pool. All proceedings were terminated by mutual agreement following the overall settlement.

The HELIOS Kliniken Group operates 111 acute and rehabilitation hospitals including seven maximum care hospitals in Berlin-Buch, Duisburg, Erfurt, Krefeld, Schwerin, Wuppertal and Wiesbaden, 52 medical care centres (MVZ), five rehabilitation centres, twelve prevention centres and 15 care facilities. HELIOS is thus one of the largest providers of both in- and outpatient care in Germany and offers quality medical care across the full care spectrum.
