Manuela represents companies in complex litigation before German courts as well as in settlement proceedings. Her principal areas of practice are corporate litigation, such as actions for annulment and rescission of shareholders' resolutions, special proceedings to obtain a judgment that a shareholder's action does not prevent registration of a shareholder's resolution with the commercial register, appraisal proceedings as well as other cases involving capital market transactions.
Currently, Manuela represents a listed company in a number of actions for annulment and rescission of several shareholders' resolutions as well as a parallel shareholder's request for information. In addition, she is active in a defence team dealing with various damage claims based on alleged incorrect capital market information.
A special focus of Manuela's practice are appraisal proceedings introduced regularly by a large number of minority shareholders subsequent to reorganizational measures (e.g. squeeze-outs, domination agreements or mergers). Manuela has extensive expertise in complex issues of enterprise valuation at the interface of economics and law. Her clients come from virtually every sector of the economy.
