Kai advises a wide range of listed and unlisted corporate clients, family-owned enterprises and investors.

His practice covers corporate and securities laws matters. Kai has been involved in capital measures such as capital cuts, rights issues and scrip dividends. He frequently works on corporate restructurings (e.g., mergers, hive-downs, spin-offs), mandatory share acquisitions (squeeze outs), and also on the foundation and the transfer of European stock corporations (SE).

He advises clients on corporate governance matters and board affairs, including liability issues.

In addition, he regularly acts on private and public M&A transactions. He has been advising Redknee Solutions Inc. on the acquisition of the Business Support Systems business from Nokia Siemens Networks, and GAGFAH GROUP on the acquisition of the VITEX portfolio. His public M&A practice has recently included the public offers by Wüstenrot & Württembergische AG to the shareholders of Württembergische Lebensversicherung AG and by Orpheus Capital II GmbH & Co. KG to the shareholders of M.A.X. Automation AG.

Kai has developed a strong practice in advising entrepreneurs and family-owned enterprises on a large range of issues, comprising structuring and implementing corporate reorganizations, succession matters, and M&A transactions.

Within these areas of expertise Kai also represents clients in litigation and arbitration proceedings. This is particularly true for corporate litigation, but also for lawsuits in connection with succession disputes.
