Andreas has a broad practice covering financing, banking and capital markets, particularly as they intersect with corporate law and corporate reorganisations.
He advises borrowers and banks in connection with taking out or granting loans as well as the issuance of bearer and registered bonds. He recently advised the lenders in connection with the refinancing of Schaeffler and Schaeffler Holding as well as Schmolz + Bickenbach on the rearrangement of its financing. He has also advised on numerous acquisition financings.
Another focus of his work is advice in relation to M&A transactions with a particular focus on banks and financial service providers. He was part of the team that advised BAWAG on its IPO, and was involved in the sale of KraussMaffei Group by Onex and the acquisition of MegaAirless by AptarGroup. He also advised Oddo&Cie on regulatory aspects of its (indirect) acquisition of BHF-Bank, Close Brothers Seydler Bank and Meriten Investment Management.
Andreas also has significant experience in the reorganisation of banks and the restructuring, winding-up or sale of non-performing financings. He advised on the transfer of international banking portfolios from Hypothekenbank Frankfurt with a volume of EUR 50 bn., which included aspects of corporate, banking and banking supervisory law. In addition, he has advised multiple private equity firms on the acquisition of portfolios comprising non-performing financings.
In addition, Andreas regularly advises banks on structured finance transactions, in particular securitisation, regulated and structured covered bonds as well as common equity and hybrid instruments.
